# End User License Agreement — Broadhurst Finance Agent

This End User License Agreement ("Agreement") governs use of the Broadhurst
Finance Agent (the "Application"), an internal application operated by Broadhurst
Digital Limited ("we", "us", "our") that integrates with QuickBooks Online.

## 1. Licence
The Application is provided for the internal business use of Broadhurst Digital
Limited and its authorised personnel only. No licence is granted to any third
party or member of the public.

## 2. Permitted use
You may use the Application to connect to QuickBooks Online and to retrieve,
view and analyse accounting data belonging to Broadhurst Digital Limited for
bookkeeping, reporting and reconciliation purposes.

## 3. Restrictions
You must not: use the Application to access any QuickBooks company you are not
authorised to access; attempt to circumvent the security or access controls of
QuickBooks Online or Intuit's API; or use the Application in breach of Intuit's
Terms of Service or applicable law.

## 4. Intuit terms
Your use of QuickBooks Online and Intuit's API remains subject to Intuit's own
terms and policies. This Agreement does not modify them.

## 5. No financial advice; verify outputs
The Application and its AI assistant are decision-support tools only. Outputs
(including reconciliations, figures and summaries) may contain errors and must
be independently reviewed before being relied upon. Nothing produced by the
Application constitutes accounting, tax, legal or financial advice. You remain
responsible for the accuracy of your books and for any filings or decisions
made.

## 6. Disclaimer of warranties
The Application is provided "as is" and "as available", without warranties of
any kind, whether express or implied, including fitness for a particular purpose
and accuracy.

## 7. Limitation of liability
To the maximum extent permitted by law, Broadhurst Digital Limited shall not be
liable for any indirect, incidental or consequential loss, or for any loss of
profit, data or goodwill, arising from use of the Application.

## 8. Termination
We may suspend or terminate access to the Application at any time. Access tokens
may be revoked at any time without notice.

## 9. Governing law
This Agreement is governed by the laws of England and Wales, and the courts of
England and Wales shall have exclusive jurisdiction.
